Tony Craze Expert Witness Limited (subsequently referred to in this agreement as ‘TCEW Limited’) will provide consultancy services to [full client name], subsequently referred to in this agreement as [ ‘client’]:

1. The services to be provided by TCEW Limited are [incorporate description of services relevant to each client].

2. TCEW Limited’s appointment as Consultant will commence on [commencement date] and will continue for an initial period of [period]. It will expire at the end of that period unless both parties agree, at least [14] days before the expiry date, that the services should continue for a further period.

3. TCEW Limited will keep [client] fully informed as to the progress of the services and consult with [client] on a regular basis.

4. TCEW Limited will charge [client] a fee for their services at the prevailing rate per hour/day at the date of the agreement, exclusive of VAT. See current schedule of fees for further information. TCEW Limited will also be entitled to reimbursement of travel and other reasonable expenses necessarily incurred by them in the provision of the services. All claims for expenses will be accompanied by relevant receipts and vouchers.

5. TCEW Limited will submit an invoice to [client] at the end of each month showing the fees and expenses claimed during the month and [client] will settle the invoice within [28] days of its receipt. Late payments may incur a penalty charge. If any part of the invoice is disputed, [client] will pay the undisputed portion pending resolution of the dispute.

6. TCEW Limited’s relationship with [client] will be that of an independent contractor. TCEW Limited will have no authority to incur any liability or make any commitment on behalf of [client].

7. All information concerning [client] and their affairs which is disclosed to TCEW Limited in the course of their services will be kept strictly confidential and TCEW Limited will not disclose any of that information to anyone else without the prior written consent of [client]. At the end of the appointment, TCEW Limited will return to [client] all documents and data in their possession relating to [client].

8. TCEW Limited’s obligations with regard to confidentiality will continue without limit in time after the end of the appointment.

9. Copyright and other intellectual property rights created in documents and data during the course of TCEW Limited’s services will belong to [client] and TCEW Limited will not retain any rights in them.

10. TCEW Limited will provide the services to [client] and will not assign or subcontract any of the services without prior written consent.

11. These terms and conditions constitutes the entire agreement between TCEW Limited and [client] and supersedes any previous agreement or understanding.
